Matouk Bassiouny & Hennawy advises on MNT-Halan IPO

Matouk Bassiouny & Hennawy acted as Egyptian counsel to MNT-Halan and the selling shareholder, MNT Investments B.V., on the initial public offering and listing of MNT Tech Holding for Financial Investments, the Egyptian arm of the fintech group, on the Egyptian Exchange (EGX).

Deal details

The offering comprises 320 million existing shares, representing a 20% stake, structured as a fully secondary offering open to both institutional and retail investors. Following the offering, the parent company will subscribe to a closed capital increase of up to EGP 4 billion in new shares at the offer price. The transaction is expected to complete in October 2026, subject to approvals from the Financial Regulatory Authority and the EGX, as well as prevailing market conditions.

The listing is expected to be one of the largest IPOs in Egypt in recent years and marks a development for the Egyptian capital markets, bringing a non-bank lender with positions in the country’s microfinance, consumer finance and SME lending markets onto the public market. The transaction opens a new route for both local and international investors into Egypt’s consumer and SME finance sector and is seen as a signal of renewed international interest in the Egyptian market, with the deal expected to support a pipeline of further listings on the EGX.
